Binding agreement between you and Clavon Solutions sp. z o.o.
1. Acceptance of these Terms
These Terms of Service form a binding agreement between you and Clavon Solutions sp. z o.o. ("Clavon"), the operator of QARI - an autonomous spot cryptocurrency trading platform accessible at qari.trade and app.qari.trade (the "Service"). By creating an account, connecting an exchange API key, or otherwise using the Service, you accept these Terms in full. If you do not agree, do not use the Service.
2. Eligibility
You may use the Service only if (a) you are at least 18 years of age, (b) you have legal capacity to enter into binding contracts in your jurisdiction, (c) cryptocurrency trading and the use of automated trading tools is lawful where you reside, and (d) you have completed any required Know Your Customer (KYC) verification with the connected exchange. You are solely responsible for ensuring your use of the Service complies with all laws, regulations, and tax obligations applicable to you.
3. Description of the Service
QARI is a software-as-a-service platform that automates the analysis and execution of spot cryptocurrency trades on supported exchanges. The Service runs an 11-layer market analysis engine, applies a 16-check pre-trade risk gate, and may - subject to your settings and the configured risk parameters - place buy and sell orders on your behalf using API credentials you provide. The Service does not custody your funds; assets remain in your exchange account at all times.
4. Shariah Compliance Statement
QARI is designed to be Shariah-compliant. The Service trades spot only and never opens leveraged, margin, futures, perpetual, or interest-bearing positions. Funding rates, derivatives, and lending products are not used. Classification of individual cryptocurrencies under Shariah law is a matter of scholarly judgement and may vary by school of thought. You are encouraged to consult a qualified scholar regarding any specific token. We do not warrant that any particular trade meets the requirements of any specific Shariah authority.
5. No Investment Advice
QARI is a software tool. We are not registered as a broker-dealer, investment adviser, portfolio manager, or financial professional in any jurisdiction. Nothing produced by the Service constitutes investment advice, financial advice, a recommendation to buy or sell any asset, or a solicitation. You are solely responsible for evaluating whether use of the Service and any resulting trades are appropriate for your circumstances.
6. Risk Disclosure - Trading is High Risk
Cryptocurrency markets are highly volatile and largely unregulated. The value of any cryptocurrency can fall as well as rise, and you may lose some, all, or more than your invested capital. Past performance is not a reliable indicator of future results. Risks include but are not limited to: market volatility, liquidity gaps, flash crashes, exchange downtime or insolvency, network congestion, blockchain forks, regulatory action, hacks, software bugs, API outages, latency, and adverse macroeconomic events.
7. Risk Management Provided by the Service
QARI implements multiple layers of risk management:
- A 16-check pre-trade risk gate.
- Mandatory stop-loss on every position (configurable 5%–50%, default 20%).
- An R-based kill switch: if cumulative daily loss reaches −2R or weekly loss reaches −5R, the Service halts new entries until the corresponding window resets. Always active; cannot be disabled.
- A correlation cap of 0.85 with existing holdings.
- A minimum reward-to-risk ratio of 2.0 on every entry.
These reduce but do not remove the possibility of loss. They cannot prevent losses caused by exchange failure, network outages, slippage in fast markets, gaps through stop-loss prices, or extreme tail events.
8. Full User Responsibility for Trading Outcomes
All profits and all losses arising from trades executed through the Service are entirely yours. Clavon, its directors, employees, contractors, and affiliates accept no responsibility or liability for the financial outcomes of any trade or sequence of trades, regardless of whether outcomes are favourable or unfavourable.
9. Exchange API Keys
To use auto-trading you must provide a Bybit API key with Spot Trading permission only. Withdrawal permission must be disabled on the key. We refuse keys that have withdrawal permission enabled. Keys are encrypted at rest using AES-256-GCM, decrypted in memory only at the moment of use, and are never logged, exported, or returned to any client. You remain responsible for the security of your exchange account, including password, two-factor authentication, and the permissions configured on the API key.
10. Per-User Settings and Trading Toggle
You can configure your capital allocation, maximum concurrent positions, stop-loss percent, profit-target percentages, ELE response, correlation block, blacklist, and other parameters via the Settings page. You can pause auto-trading entirely at any time using the "Auto-trading" toggle. When OFF, the Service will not place new orders; existing positions remain managed (stop-loss, profit targets, trailing stops). The R-based kill switch remains active regardless of the toggle.
11. Data Collection - Collective Machine Learning
QARI improves over time using a collective ML model trained on anonymised trade outcomes from consenting users. Training data contains feature vectors and outcome labels but explicitly excludes user identifiers, account balances, capital amounts, prices, or any data that could re-identify you. You can opt in or out at any time via Settings.
12. Subscription, Billing, and Trial
New accounts receive a 3-month free trial with limits described on the Pricing page. After the trial, you may subscribe to a paid tier (Pro or Premium). If you do not subscribe, auto-trading is suspended; existing positions remain visible and you can close them manually, but no new entries fire. Subscriptions renew monthly until cancelled. You may cancel any time from Settings; cancellation takes effect at the end of the current billing period.
13. Acceptable Use
You agree not to (a) reverse engineer, decompile, or extract source code; (b) abuse rate limits or overload the Service or the connected exchange; (c) engage in market manipulation, wash trading, layering, or spoofing; (d) violate any sanctions, anti-money-laundering, or counter-terrorism financing laws; (e) share account credentials; (f) impersonate another person or entity; (g) attempt to access data or accounts that are not yours.
14. Intellectual Property
The Service, including all source code, models, designs, copy, and brand assets, is owned by Clavon Solutions and protected by copyright. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal trading.
15. Privacy & Data Protection
We collect only personal data necessary to provide the Service. We do not sell personal data. We comply with the EU General Data Protection Regulation (GDPR) and the Nigeria Data Protection Regulation (NDPR) where applicable. See our Privacy Policy for details.
16. Termination
You may terminate your account any time from Settings. We may terminate for breach, suspected fraud, prolonged inactivity, or operational reasons. On termination, auto-trading stops immediately. Open positions remain on your exchange account.
17. Limitation of Liability
To the maximum extent permitted by law, in no event shall Clavon, its directors, employees, contractors, affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for direct damages shall not exceed the greater of (a) the amount you paid us in subscription fees in the twelve months preceding the event, or (b) one hundred United States Dollars (US$100).
18. Warranty Disclaimer
The Service is provided "as is" and "as available" without warranty of any kind. You use the Service at your own risk.
19. Indemnification
You agree to indemnify and hold harmless Clavon and its affiliates from any claim, demand, loss, or damages arising out of (a) your use of the Service, (b) your trading activity, (c) your violation of these Terms, (d) your violation of any law or third-party right.
20. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Poland. Disputes shall be resolved by the competent courts of Warsaw, Poland. Nothing in this clause limits any mandatory consumer- protection rights you may have under the laws of your country of residence.
21. Changes to These Terms
We may update these Terms from time to time. For material changes we will provide at least 30 days' notice via email and an in-dashboard notice, and we will require you to re-accept before continuing.
